The Program allows you to earn commissions by referring new paying customers to miniExtensions via a unique referral link (“Affiliate Link”) shared by you with your audience and provided to you through your affiliate dashboard in Operator (see below).

Eligibility

To participate in the Program, you must:

1. Be either (i) a natural person of at least 18 years of age; or (ii) a legal entity duly incorporated and validly existing under the laws of its jurisdiction, represented by an authorized representative;
2. Provide accurate and complete information when registering;
3. Not be an employee of miniExtensions; and
4. Comply with Operator requirements.

Participation in the Program is only permitted for natural persons acting in a commercial or professional capacity and for legal entities. We reserve the right to approve or reject any application to the Program at our sole discretion.

Third-Party Program Operator

A Third-Party Program Operator (“Operator”) operates the Program on behalf of miniExtensions. To participate in the Program, you agree to (i) create a user account with Operator; and (ii) accept any Operator partner terms (“Partner Terms”) in effect from time to time, which apply to the Program.

The Partner Terms constitute a separate legally-binding agreement with the Operator.

miniExtensions may change Operator from time to time in its sole discretion. miniExtensions shall notify you at least 30 days before the intended Operator change, to inform you of the new Operator and application of new Partner Terms. If you do not accept the new Partner Terms or Operator requirements, you must notify miniExtensions immediately. Any such notification to miniExtensions shall extinguish your participation in the Program.

Affiliate Link and Tracking

Upon registration for the Program, you will receive an Affiliate Link. Subject to these T&Cs, you may share the Affiliate Link in your content via any marketing or social media channel.

miniExtensions reserves the right at any time to require you to pause or discontinue any advertising activity upon written notification (email sufficient) to you.

Tracking is handled by Operator. miniExtensions is not responsible for (i) tracking errors; or (ii) commissions not properly attributed.

Commission

You may earn a commission on every payment made to miniExtensions by any customer referred by you via the Affiliate Link (“referred customer”). Your individual Commission will be pre-agreed with miniExtensions.

Commissions are:

1. Accrued once a referred customer (i) becomes a miniExtensions paying customer; and (ii) does not request a refund for the associated payment (“eligible customer”);
2. Available for a maximum of 12 months per eligible customer unless otherwise agreed in writing;
3. Calculated based on net revenue per eligible customer less any discounts given and
4. Paid to you by Operator through their third-party payment providers, upon request via the Affiliate Portal. A minimum payout threshold may be implemented. Your payment claim remains solely against miniExtensions, irrespective of Operator’s involvement.

Your Status

You are an independent contractor.

You are solely responsible for any taxes (including VAT or sales tax) or fees associated with receiving commission as part of the Program.

miniExtensions makes no guarantees regarding your potential earnings or the performance of the Program.

Prohibited Conduct

You must not:

1. Use false or misleading advertising (including omitting to disclose that you are financially incentivized under the Program);
2. Misrepresent your relationship with miniExtensions or Operator;
3. Engage in spam, cookie stuffing, self-referrals or fraudulent activity to trigger commissions;
4. Place any miniExtensions trademark, logo, or branding or marketing assets (“miniExtensions IP”) alongside any illegal, offensive or inappropriate content;
5. Infringe any third-party rights and
6. Offer unauthorized discounts, coupons or rebates.

We reserve the right to review or audit any of your content and take any action necessary up to and including terminating your participation in the Program and / or informing local authorities, should we deem your behavior and / or content to be in breach of these T&Cs or applicable laws.

Rights of Use

You may use miniExtensions IP solely to promote miniExtensions under the Program. All rights not expressly granted are reserved by miniExtensions.

miniExtensions may object to your use of miniExtensions IP at any time in writing. In such case, you will use best efforts to remove the miniExtensions IP from all of your content, so that it is no longer publicly accessible.

You must not modify or create derivative works from miniExtensions IP.

You may engage in paid advertising campaigns using generic or descriptive keywords related to miniExtensions' products or services, only with miniExtensions' prior written consent (email sufficient). miniExtensions may, in its sole discretion and at any time, require you to cease or amend any such advertising activity; instruction with which you shall comply immediately upon receipt of notification from miniExtensions. Under no circumstances shall you (i) bid on, purchase or otherwise use miniExtensions' trademarks (including the name “miniExtensions”), product names or any confusingly similar variations; or (ii) include such terms in ad copy, display URLs, domain names, social media advertising or other marketing placements.

Indemnification

You shall indemnify miniExtensions from liabilities, claims, losses, damages or fines against miniExtensions relating to any (i) third-party intellectual property infringement directly attributable to your acts or omissions; (ii) liability arising from any employment-related claim or claim based on worker status; and (iii) culpable breach by you of these T&Cs, our Code of Conduct or violation of any applicable law. miniExtensions shall have no obligation to indemnify or defend you in connection with the Program or these T&Cs; no rights of indemnity shall be implied in your favor.

Term and Termination

These T&Cs will apply for as long as you participate in the Program. Either you or miniExtensions may terminate your participation in the Program at any time, with or without cause, by giving written notice (email sufficient).

Upon termination, you will:

1. Immediately stop using the Affiliate Link and miniExtensions IP; and
2. Forfeit any unpaid commissions for referrals found to violate these T&Cs.

Operator shall not be liable for any outstanding payments or other obligations which remain unfulfilled on termination. All payment obligations remain with miniExtensions.

Modification

We may update or modify these T&Cs at any time with effect for the future. If we do, we shall notify you by posting the updated T&Cs on our website. If you do not agree to the amendment, you may terminate your participation in the Program with effect from the date the amendment becomes effective. Your continued participation in the Program after changes are posted constitutes acceptance of the updated T&Cs.

Governing Law & Jurisdiction

These T&Cs are governed by United States law. Exclusive jurisdiction for all disputes is Middletown, Delaware.
